📄 Acceptance of Terms

1.1 Agreement to Terms

By accessing or using USLaunchStack ("the Platform," "we," "our," "us"), operated by Steeled Inc., you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

1.2 Amendments

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or prominent notice on the Platform. Continued use of the Platform after amendments constitutes acceptance of the updated Terms. The "Last Updated" date at the top reflects the most recent revision.

1.3 Additional Policies

These Terms incorporate by reference our Privacy Policy and AI Disclaimer. In the event of a conflict between these Terms and any other policy, these Terms shall control unless otherwise stated.

🏢 Nature of Services

2.1 Platform Description

USLaunchStack provides AI-powered information, analysis, tools, templates, and automation software to assist with US business market entry research and planning. The Platform is an information and productivity tool only.

2.2 Not Professional Services

The Platform does not provide, and should not be understood as providing, legal advice, legal representation, tax advice, accounting services, immigration advice, financial advice, investment advice, or any other licensed professional services.

2.3 Informational Purpose Only

All content, outputs, analyses, recommendations, templates, and reports generated by the Platform are for informational and educational purposes only. They do not constitute professional advice of any kind and should not be relied upon as a substitute for consultation with qualified, licensed professionals.

2.4 Platform Evolution

We may modify, suspend, or discontinue any feature of the Platform at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of services.

✅ Eligibility

3.1 Age Requirement

You must be at least 18 years of age and capable of entering into legally binding agreements to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

3.2 Business Use

The Platform is intended for business use. If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms, and references to "you" include both you individually and the entity.

3.3 Geographic Restrictions

The Platform is available globally, but certain features may be restricted in specific jurisdictions. You are responsible for compliance with all applicable local laws and regulations in your jurisdiction.

👤 User Responsibilities

4.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at uslaunchstack@polsia.app of any unauthorized use of your account.

4.2 Decision Responsibility

You are solely responsible for all decisions made based on information provided by the Platform. Steeled Inc. is not liable for any decisions, actions, or omissions you take based on Platform outputs.

4.3 Professional Consultation

You must consult licensed professionals (attorneys, CPAs, EAs, immigration attorneys, financial advisors) before acting on any Platform output that touches on legal, tax, immigration, financial, or compliance matters.

4.4 Verification Responsibility

You are responsible for independently verifying current legal and regulatory requirements applicable to your specific situation. Platform information may be outdated, incomplete, or inapplicable to your circumstances.

4.5 Lawful Use

You must not use the Platform for any unlawful purpose or in violation of applicable law, including but not limited to applicable export control laws, data protection laws, and intellectual property laws.

4.6 Accurate Information

You agree to provide accurate, current, and complete information when using the Platform. Inaccurate information you provide may result in inaccurate or inappropriate Platform outputs, for which Steeled Inc. bears no responsibility.

5.1 Nature of AI Outputs

USLaunchStack uses artificial intelligence to generate analysis, assessments, reports, templates, comparisons, and recommendations. AI-generated content is produced by machine learning models and does not reflect the judgment of a licensed professional.

5.2 Not Professional Advice

No AI-generated output on this Platform constitutes legal advice, tax advice, immigration advice, financial advice, investment advice, or any other form of licensed professional advice. AI outputs are provided for informational and educational reference only.

5.3 AI Limitations

AI systems have inherent limitations including: training data cutoff dates, potential for generating plausible-sounding but factually incorrect information (hallucination), inability to account for jurisdiction-specific nuances, and inability to assess your unique circumstances. 5.5 Output-Level Notice

The following notice appears on all AI-generated outputs within the Platform:

6.1 No Accuracy Warranty

We do not warrant that Platform content, AI outputs, or any information provided through the Platform is accurate, complete, current, or error-free. The Platform is provided on an "as is" and "as available" basis.

Laws, regulations, tax codes, filing requirements, government programs, incentive programs, and compliance deadlines change frequently. Platform information may reflect outdated requirements. 6.3 Jurisdiction Variation

⚖️ No Legal Services — Unauthorized Practice of Law Notice

Entity formation requires analysis of your specific business structure, liability exposure, tax situation, and regulatory needs — advice that constitutes the practice of law in all 50 states. Steeled Inc. does not employ licensed attorneys and cannot provide legal services regardless of how Platform outputs are framed.

What This Means For You

• All entity comparison analyses are educational template reference material — not legal advice
• All formation document templates require customization by your attorney before state filing
• Entity type recommendations are not a substitute for licensed attorney review
• State filing requirements shown are for reference only — verify current requirements with your Secretary of State

Before Forming Your Entity

Consult a licensed attorney in your state regarding entity type selection, liability protection, state-specific formation requirements, operating agreement terms, and governance structure. Failure to obtain proper legal advice can result in inadequate liability protection, compliance failures, and costly restructuring.

🧾 No Tax Advice — Tax Compliance Notice

Tax planning for business entities — including pass-through vs. C-corporation analysis, state tax implications, federal employment tax obligations, foreign tax credit considerations, and treaty analysis — requires engagement of a licensed CPA or Enrolled Agent. Tax advice without proper licensure violates state accountancy laws.

📋 FinCEN BOI Liability Notice

Your Obligations Under 31 USC §5336

The Corporate Transparency Act requires most US business entities to report beneficial ownership information to FinCEN. You are personally responsible for:

• Verifying current FinCEN BOI requirements at fincen.gov
• Consulting a compliance attorney before filing
• Designating the responsible filer (typically the company formation agent or principal officer)
• Ensuring all beneficial owner information is accurate and complete
• Filing timely updates when beneficial ownership changes

USLaunchStack's BOI guidance is educational reference only and does not constitute compliance counseling. All beneficial ownership reporting must be prepared and certified by the designated responsible filer. You MUST verify current FinCEN requirements and consult a compliance attorney before filing.

10.1 Ownership

All Platform content, software, code, design, text, graphics, interfaces, and other materials are owned by Steeled Inc. or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 License to Use

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your lawful business purposes only. This license does not include: (a) reselling or commercially exploiting the Platform; (b) copying, distributing, or creating derivative works without authorization; (c) using automated means to scrape or extract data from the Platform.

10.3 User Content

You retain ownership of information you provide to the Platform. By submitting content, you grant Steeled Inc. a non-exclusive, worldwide, royalty-free license to use that content to operate, improve, and provide the Platform services. We do not sell your content to third parties.

10.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Steeled Inc. without obligation to compensate you or maintain confidentiality.

🔐 User Data & Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

11.1 Data Security

We implement commercially reasonable security measures to protect your data. However, no security system is impenetrable, and we cannot guarantee the absolute security of your information. You are responsible for maintaining the security of your account credentials.

11.2 Data Backup

You are responsible for maintaining your own backups of any data or content that is important to you. We are not liable for any loss or corruption of data.

💳 Subscription & Payment Terms

12.1 Subscription Plans

USLaunchStack offers subscription-based access to the Platform. Subscription tiers, pricing, and feature access are described on our pricing page and may be updated from time to time. Current pricing is available at the time of purchase.

12.2 Billing

Subscriptions are billed on a recurring basis (monthly or annual, as selected). By subscribing, you authorize us to charge your payment method for recurring fees. All fees are in US dollars unless otherwise stated.

12.3 Per-Output Purchases

Certain features may be available on a per-output or à la carte purchase basis. Such purchases are subject to the pricing disclosed at the time of purchase and are generally non-refundable once the output has been generated.

12.4 Refund Policy

Subscription fees are non-refundable except where required by applicable law. If you believe you are entitled to a refund, contact us at uslaunchstack@polsia.app within 30 days of the charge.

12.5 Price Changes

We reserve the right to change subscription prices with at least 30 days' notice to affected users. Continued use after a price change constitutes acceptance of the new pricing.

12.6 Taxes

You are responsible for all applicable taxes on purchases made through the Platform, except where Steeled Inc. is required by law to collect and remit such taxes.

🆓 Free Tier & Trial Terms

13.1 Free Tier Access

We may offer a free tier with limited functionality. Free tier access is provided at our sole discretion and may be modified or discontinued at any time. Free tier users are subject to all provisions of these Terms.

13.2 Trial Periods

We may offer free trial periods for paid features. At the end of a trial period, access will convert to a paid subscription unless you cancel before the trial expires. You may be required to provide payment information to access a trial.

13.3 Fair Use

Free tier and trial users must not attempt to circumvent usage limits or use automated means to generate excessive outputs. Abuse of free access may result in account termination.

🚫 Prohibited Uses

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights
• Engage in unauthorized practice of law, tax advice, immigration consulting, or any licensed professional service
• Misrepresent Platform outputs as professional legal, tax, or financial advice to third parties
• Attempt to reverse engineer, decompile, or extract source code from the Platform
• Use automated scripts, bots, or crawlers to access the Platform without authorization
• Introduce viruses, malware, or other harmful code to the Platform
• Attempt to gain unauthorized access to the Platform or its underlying systems
• Use the Platform in any way that could damage, disable, overburden, or impair the Platform
• Resell, sublicense, or commercially exploit access to the Platform without authorization
• Collect or harvest user data from the Platform without consent
• Use the Platform to generate content that is defamatory, fraudulent, or constitutes harassment

🔚 Termination

15.1 By You

You may terminate your account at any time by contacting us at uslaunchstack@polsia.app. Account termination does not entitle you to a refund of any prepaid fees.

15.2 By Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for: (a) violation of these Terms; (b) fraudulent or illegal activity; (c) conduct that harms other users or the Platform; (d) non-payment of fees; or (e) any other reason at our sole discretion.

15.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including Sections 7, 8, 10, 16, 17, 18, and 19.

15.4 Data After Termination

Following account termination, we may retain your data for up to 90 days before deletion, except where retention is required by law. See our Privacy Policy for details.

⚠️ Disclaimer of Warranties

We make no warranty that: (a) the Platform will meet your requirements; (b) Platform outputs will be accurate, complete, or reliable; (c) any errors in the Platform will be corrected; (d) the Platform will be available at any particular time or location; or (e) AI-generated content is free from hallucinations, inaccuracies, or omissions.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

⚖️ Limitation of Liability

IN NO EVENT SHALL STEELED INC.'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE AMOUNT YOU PAID TO STEELED INC. IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

🛡️ Indemnification

You agree to defend, indemnify, and hold harmless Steeled Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Platform, including any AI-generated outputs
• Your reliance on Platform outputs for legal, tax, immigration, financial, or compliance decisions
• Your violation of any third-party rights, including intellectual property rights
• Any claims by third parties arising from your use of Platform outputs
• Any content or information you provide to the Platform

🏛️ Governing Law & Dispute Resolution

19.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

19.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in English.

19.3 Class Action Waiver

YOU AND STEELED INC. EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION. All claims must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

19.4 Small Claims

Notwithstanding the above, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction.

19.5 Opt-Out

You may opt out of the arbitration provision within 30 days of first using the Platform by sending written notice to uslaunchstack@polsia.app with the subject line "Arbitration Opt-Out."

📋 General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and AI Disclaimer, constitute the entire agreement between you and Steeled Inc. regarding the Platform and supersede all prior agreements, representations, and understandings.

20.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

20.3 Waiver

The failure of Steeled Inc. to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to in writing.

20.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without Steeled Inc.'s prior written consent. Steeled Inc. may assign these Terms without restriction.

5. You are solely responsible for verifying current state formation requirements and FinCEN reporting requirements applicable to your situation.
6. You accept personal liability for all decisions made based on Platform outputs.
